General Terms and Conditions of Use and Service

The company Organise Your Exchange (hereinafter also referred to as “OYE”) is a French Micro-Entreprise owned by Mark VAN DER PLAS, registered with the RCS (French national registry of companies) under the number 933 926 230 and located at 61 rue de Lyon, 75012 Paris, France. OYE operates a web platform (hereinafter referred to as the “Platform”) designed to facilitate cultural exchanges for high school students and their families. The Platform is accessible via the website organiseyourexchange.com (hereinafter referred to as the “Site”).

The Site is available to any internet user (hereinafter referred to as the “User”), and contains the necessary information for initiating the preparations for an exchange.

The purpose of the Platform is to provide a paid service (hereinafter referred to as the “Service”) to its customers (hereinafter referred to as “Organisers”) to assist them in organising a high school exchange. The Service comprises two primary components:

  1. Matching of Organisers with compatible Profiles (hereinafter referred to as “Matching” or “Match”).
  2. The provision of tools and guides (hereinafter referred to as “Materials”) designed to support the Organisers in the exchange planning process.


To use the Service, the Organiser must first create a family profile (hereinafter referred to as the “Profile”) that includes all necessary information to facilitate the Service.

These General Terms and Conditions of Use and Service (hereinafter referred to as the “Terms and Conditions” or “General Terms and Conditions”) govern the use of the Site, of which Organise Your Exchange is the publisher, and set forth the rights and obligations of Users and Organisers.

These Terms and Conditions are governed by French law.

In the event of any dispute between Organise Your Exchange and a User regarding the validity, execution, non-execution, or interpretation of these Terms and Conditions, or concerning the relationship between OYE and the User, the latter may resort to a mediation procedure or any alternative dispute resolution method. Users are reminded that requests for an amicable settlement do not suspend the legal time limits for initiating legal proceedings.

Preliminary article - Definitions

For the purposes of the execution and interpretation of these General Terms and Conditions of Use and Service, the following terms beginning with a capital letter will have the meanings defined below, whether used in the singular or plural:

Organiser” refers to the person who decides to register with Organise Your Exchange by creating a Profile and accepting the Terms and Conditions.

Profile” refers to all the information provided by the Organiser, regarding their family and their preferences, to Organise Your Exchange for the purpose of using OYE’s Service.

Service” or “Service Contract” refers to the provision, in exchange for payment, of Matching and Materials to the Organiser.

Matching” or “Match” refers to the connecting of or connection between two Organisers with compatible Profiles.

Materials” refers to all files, tools, links, etc., provided to Organisers to assist them in organising a school exchange.

Contract” refers to the binding agreement formed upon the Organiser’s acceptance of the Terms and Conditions.

Parties” or “Party” refers to Organise Your Exchange or an Organiser.

User” refers to any person, whether an Organiser or otherwise, using the Site.

Platform”, “Website”, or “Site” refer to the website and applications operated by Organise Your Exchange, including tools such as those in the Google Suite, accessible at the web address organiseyourexchange.com.

Article 1 - Purpose

The purpose of these General Terms and Conditions is to define the rules governing User access to the Site and the provision of the Service to the Organisers by Organise Your Exchange.

Article 2 - Site registration

Before becoming an Organiser and gaining access to the Service, the User must complete the registration process by creating a Profile. The registration procedure is governed by the terms and conditions outlined below.

2-1 Capacity to contract

Registration on the Site as an Organiser is available only to adult natural persons who possess the legal capacity to enter into binding contracts. While minors may assist in preparing information for the creation of a Profile, they are not permitted to complete the registration process or create a Profile themselves.

2-2 Provision of personal data

Organisers are required to provide personal information, including but not limited to their surname, first name, email address, and information about their family. Given the nature of the Service provided by Organise Your Exchange, which necessitates the collection of substantial personal data, Organisers are encouraged to review our Privacy Policy for details on how their data will be processed.

All personal data collected by Organise Your Exchange is handled in compliance with the French Data Protection Act of 6 January 1978, reviewed in 2019, and the General Data Protection Regulation (GDPR).

2-3. Profile approval by Organise Your Exchange

Prior to being considered for Matching on the Platform, Organise Your Exchange will review the submitted Profile to ensure that it is complete and coherent. If necessary, OYE may request additional information from the Organiser.

Organise Your Exchange reserves the right to decline the processing or approval of any Profile at its sole discretion. The submission of a Profile form does not guarantee approval or consideration for Matching.

2-4 Acceptance of the General Conditions of Use

A User may only become an Organiser after having read and agreed to the General Terms and Conditions of Use and Service. This acceptance is confirmed by ticking the appropriate box during the registration process.

Article 3 - Rights and obligations of the Organisers

3-1 Organiser status

Upon approval of an Organiser’s Profile, Organise Your Exchange will notify the Organiser and commence the search for a suitable Match based on the provided criteria.

Organisers may:

  • Modify their Profile at any time, understanding that any changes will require re-approval before they can be considered for Matching.
  • Request the removal of their Profile from the pool of candidates, thereby halting any further consideration for Matching.
  • Contact Organise Your Exchange for customer support relating to the use of the Platform or the Service.

3-2 Use of Materials

All Materials provided to the Organiser as part of OYE’s Service are intended for personal use only. The Organiser and his/her family may freely use the resources for the purpose of organising an exchange.

The redistribution, resale, reproduction, or any commercial use of these Materials without explicit permission from OYE is strictly prohibited.

3-3. Organisers’ commitments

Each Organiser agrees to act in good faith throughout their engagement with OYE, including but not limited to the following obligations:

  • Create a Profile solely with the intention of organising a high school exchange as outlined on the Site.
  • Ensure that all prerequisites for participating in an OYE exchange have been met before creating a Profile.
  • Provide truthful, complete, and accurate information when filling out the Profile.
  • Notify OYE promptly if they no longer wish to be considered for Matching or to use the Service.


Each Organiser acknowledges that OYE has no role in and bears no responsibility for the actual organisation of the exchange itself. Accordingly, each Organiser accepts full responsibility for:

  • Complying with all applicable laws and regulations within their jurisdiction, including those related to travel, visas, and any other legal requirements.
  • Verifying the identity of the Matched Organiser and establishing the terms of the exchange, including the roles and responsibilities of each participating family.

3-4 Prohibited conduct

To ensure a safe and respectful environment for all participants, the following actions are strictly prohibited in interactions with OYE, the Matched Organiser, their family, or any third party involved in the exchange:

  • Discrimination of any kind, including but not limited to discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
  • Any form of abuse, harassment, or intimidation—whether verbal, physical, or emotional—directed toward any other party.
  • Acts of physical or emotional violence.
  • Providing false, misleading, or incomplete information about oneself, one’s family, or any other relevant details during the Profile creation or interaction with the Matched family.
  • Misuse of personal data received from OYE or the Matched Organiser, including any use of such data for purposes other than organising the exchange.
  • Engagement in any illegal activities under applicable local laws.


If an Organiser is found to have engaged in any such behaviour, Organise Your Exchange reserves the right to immediately remove the Organiser from consideration for Matching and pursue any legal remedies deemed appropriate.

Article 4 - Price of the Service

Each instance of using the Service is invoiced on the basis of the price in force at the time it is obtained by the Organiser.

Prices are expressed in euros, all taxes included, including the applicable French VAT.

Article 5 - Payment methods

5-1 Purchase of the Service

The cost of the Service is payable once a Match has been found and accepted by both Organisers.

The Service can be purchased:

  • by credit card
  • by bank transfer


Once the amount due has been received, Organise Your Exchange will provide the Organiser with details of the family with which he/she is connected by Matching and additional tools to help organise the exchange.

5-2 Cancellation of sale

Organise Your Exchange reserves the right to cancel a sale if it has been made by means of a fraudulent payment.

Article 6 - Terms and Conditions of the Service

6-1 Searching for a Match

Once the Organiser’s Profile has been approved, Organise Your Exchange will make reasonable efforts to find a suitable Match for the Organiser during the signup period, or until the date specified by the Organiser as the deadline for Matching. After this date, OYE will no longer seek to find a Match.

The parameters that govern which Profiles can be considered a suitable Match can be found on the Site. Organise Your Exchange strives to always Match Organisers in such a way that a rewarding exchange can take place. However, Organise Your Exchange reserves the right to deem a Match suitable at its sole discretion, and is not contractually bound by the parameters as can be found on the Site.

6-2 Provision of the Service

Once a Match has been found, OYE will notify both Organisers and request confirmation of their intent to proceed. Payment becomes due upon confirmation of the Match.

If one of the Organisers fails to confirm or make payment within 14 days of notification, the Match will be cancelled, and any payments made by the other Organiser will be fully reimbursed.

Upon receipt of payment from both Organisers, OYE will deliver the Profile of the Matched Organiser and provide the Materials via email. This marks the full performance of the Service Contract.

In accordance with Article L221-28 of the French Consumer Code, the Organiser acknowledges that once the Match has been confirmed and the Materials have been shared, the right of withdrawal no longer applies.

6-3 Post-provision scenarios

After provision of the Service, it might occur that the Organisers are unwilling or unable to continue the process of organising an exchange together. In these cases, while under no contractual obligation to do so, considering that the Service Contract has been performed in full, Organise Your Exchange might choose to offer the following services.

Scenario 1: If the process of organising the exchange has been terminated, whether by mutual agreement or unilaterally, and one or both Organisers wish to be reconsidered for a new Match, OYE may add the Organiser(s) back into the pool of candidates. If a new Match is made, no additional payment will be required from the Organiser(s).

This discretionary service will only be offered if OYE deems the reason for terminating the exchange process as valid and there is no reason to believe future exchanges processes involving the Organiser will be unsuccessful.

Scenario 2: If an Organiser is found to be in breach of their obligations under Article 3 of these Terms, they will not be eligible for reconsideration for Matching, nor will they be entitled to any reimbursement.

Scenario 3: If an Organiser terminates the process due to the other Organiser’s breach of obligations under Article 3, the former Organiser is entitled to be added back to the pool of candidates for Matching for free. This does not count towards the free second Match as described in article 6-3.1.

Article 7 - Duration

The Contract between the Organiser and Organise Your Exchange is deemed effective from the moment the Organiser creates their Profile and accepts these Terms and Conditions. The Contract will remain in effect until either:

  • 60 days have passed after the performance of the Service Contract, as described in Article 6-3, or
  • The Organiser is no longer considered for Matching, in accordance with the conditions outlined in Article 6-1.

Article 8 - Termination

8-1 Termination

Either Party may terminate this Contract at any time by providing written notice to the other Party via email or registered letter. Termination becomes effective upon receipt of the notification.

OYE reserves the right to terminate the Contract immediately in the event of a breach by the Organiser of any obligations outlined in these Terms and Conditions.

8-2 Effects of termination

Upon termination of the Contract, the Organiser’s Profile will be deactivated, and they will no longer be considered for Matching. Termination of the Contract does not entitle the Organiser to a refund if payment for the Service has already been made.

Article 9 - Liability

9-1 Responsibility for the content of Organiser Profiles

Before a Profile is approved and an Organiser considered for Matching, Organise Your Exchange undertakes to review the Profile for completeness and coherence. However, OYE cannot be held responsible for the accuracy, reliability, or truthfulness of the content in any Organiser Profiles. The responsibility for ensuring the factual accuracy of a Profile remains solely with the Organiser who provided it.

Each Organiser acknowledges that they are solely responsible for verifying and validating the information contained in the Profile of any Matched Organiser to the extent necessary for their own decision-making.

9-2 Responsibility for identity verification

While OYE implements processes aimed at fostering trustworthy connections between Organisers, we do not perform any direct identity verification of individuals or entities using the Platform. It is the sole responsibility of each Organiser to verify the identity of any Matched Organiser they interact with. OYE provides resources and guidelines on how to approach identity verification, but assumes no responsibility or liability in this regard.

9-3 Responsibility for organising and holding the exchange & safety

OYE acts solely as a facilitator, connecting Organisers through the Platform. We are not a party to any agreements made between Organisers, nor do we operate as a travel agency, organised exchange program, agent, or insurer. Accordingly, OYE assumes no liability for any damages, losses, or disputes that may arise as a result of interactions or arrangements made between Organisers following the use of our Service.

We offer safety guidelines on our Site and within the provided Materials to assist Organisers in taking precautionary measures. By using the Service, you acknowledge that you have read and understood these guidelines. However, OYE is not responsible for ensuring the safety of Organisers, their families, or any other individuals associated with them, nor does OYE guarantee that the safety measures will prevent any harm.

9-4 Parental responsibility

By using the Platform, you acknowledge and agree that Organise Your Exchange’s Service is provided only to the adult Organisers (parents or legal guardians), and that you are fully responsible for the participation, safety, and well-being of any minors involved in the exchange. Organise Your Exchange assumes no responsibility for supervising, managing, or ensuring the safety of minors during the exchange.

9-5 Third-party websites

The Platform and Materials may contain links or references to external websites operated by third parties. These links are provided solely for your convenience. OYE has no control over these third-party websites and assumes no responsibility or liability for the content, materials, or information they contain.

The inclusion of any link or reference does not constitute an endorsement or approval by OYE of the third-party website, its products, or its services.

9-6 Indemnification

By using OYE, you agree to indemnify and hold harmless OYE from any and all claims, actions, liabilities, damages, losses, and expenses (including but not limited to legal fees and court costs) that arise from or relate to your use of the Platform or the Service, including but not limited to interactions and agreements made between Organisers.

9-7. Limitation of liability

To the maximum extent permitted by applicable law, OYE disclaims all warranties, express or implied, related to the accuracy, reliability, or performance of the Platform. If any statutorily required rights or warranties apply that cannot be disclaimed, the duration of such rights or warranties will be limited to the minimum period allowed by law.

Article 10 - Modification of the General Terms and Conditions

10-1 Modifications to the General Terms and Conditions

Organise Your Exchange reserves the right to modify or update these Terms and Conditions at any time, at its sole discretion, without prior notice to the Users or Organisers.

Any modifications to these General Conditions will become effective immediately upon being published on the Site. The updated Terms and Conditions will replace any previous versions and will govern all subsequent use of the Platform and the Services provided by Organise Your Exchange.

10-2 User responsibility to stay informed

It is the sole responsibility of Users and Organisers to regularly review the Terms and Conditions to stay informed of any changes. Continued use of the Site or Service after any modifications have been posted constitutes the User’s or Organiser’s acceptance of the updated Terms and Conditions.

Article 11 - Use of the Website

11-1 Website malfunction

Organise Your Exchange shall not be held liable for any inability to access the Website, including but not limited to interruptions for maintenance, technical issues beyond its control, or unforeseen events preventing operations. While Organise Your Exchange strives to maintain a secure and functioning platform, it cannot guarantee that the Website will be free of viruses or other harmful components outside its control.

11-2 Website availability and access

Organise Your Exchange is committed to providing continuous access to the Website, 24 hours a day, 7 days a week. However, this is a best-effort obligation, not a guarantee of results. Access may be interrupted due to scheduled maintenance, unforeseen breakdowns, or factors beyond the company’s control.

11-3 Intellectual property rights

All content on the Website, including but not limited to text, graphics, logos, and software, as well as all associated intellectual property rights, remain the exclusive property of Organise Your Exchange. Users are granted no rights or licences to use any content or intellectual property belonging to Organise Your Exchange without explicit written consent.

Article 13 - Settlement of disputes & applicable law

13-1 Applicable law

The Contract between the Organiser and Organise Your Exchange, regardless of the nationality of the Organiser, shall be governed exclusively by French law. In the event of any discrepancies between translations, the French version of the Terms and Conditions shall prevail.

13-2 Jurisdiction

Any disputes arising from or relating to the formation, validity, interpretation, execution, or termination of the Contract, which cannot be resolved amicably, shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, regardless of the nationality of the Organiser. This clause shall apply in all circumstances, including summary proceedings, claims involving multiple parties, or third-party claims.
